Apeiron Management advises on financial, engineering and economic matters to oil & gas companies, financial institutions and governments.

Our management and associates bring decades of experience in oil and gas, process optimisation, cost reduction and digitalisation. We have vast experience and knowledge from other industries to make a positive impact on the oil and gas transformation needs, combining technical, economic and commercial advice.

Asset Acquisitions and Divestitures

Asset Acquisitions and Divestitures

Portfolio management is a fundamental activity of clients in the oil and gas industry to re-evaluate current assets and re-adjust based on the company’s strategic investment goals. Acquisition and divestitures are required to achieve a balanced portfolio of assets.

The current volatile environment provides companies with opportunities to restructure their balance sheet by offloading non-strategic assets and provides companies and investment funds opportunities to buy assets and create future value.

We have a strong team of professionals who bring a number of years of technical, commercial and financial experience to assess, structure and execute deals.

Opportunity assessment

We perform our own technical and commercial assessment and advise & support companies looking to buy or sell assets.

Data room preparation and management

Our technical and commercial experts work with the client to prepare marketing documents, set-up data room and manage the entire sell process.

Potential buyers and sellers

We use our network for companies to find a potential buyer or look for opportunities for companies looking to acquire.

Transaction support and deal structuring

We leverage our group’s financial services capabilities to manage the transaction and help in deal structuring including, debt, bonds and equity funding.

Due Diligence

Due Diligence

It is fundamental to understand any known or potential risks associated with any investments, partnership or internal planning & strategy. Independent assessment and peer-reviews help to eliminate any biasing and provides confidence in understanding the risk and reward associated with the transaction.

We deliver on technical and commercial due diligence, assessments, evaluations, valuations, and negotiation criteria.

We rapidly bring together subject matter experts and form a due diligence team with the relevant expertise for the asset transaction. We support attendance at the data room review, analysing the available data/information, initially prepare a 'red flag' review, make a risk assessment and understand the value drivers to help identify the issues that impact the asset value.

Our due diligence service support provides our clients with an independent report on resources and reserves, an investment profile (capital, operating, and abandonment costs), fiscal, tax, economic indicators and cash-flow modelling, understanding of risk, uncertainty and potential value, based on years of our experience gained from an operator, joint venture and financial organisations.

Independent assessment

We deliver on technical and commercial due diligence, assessments, evaluations, valuations, and negotiation criteria.

Red flag review

We quickly deliver a high-level overview, identifying the 'red flag' issues that may halt the transaction.

Commercial & Economics

We build a financial model and perform an economic analysis to ensure investors understand the commercial risks and opportunities.

ESG due diligence

We consider the environmental, social and governance (ESG) impact of an investment in an asset or company.

Investment & Financing

Investment and Financing

Structuring a potential investment and securing the correct funding is a critical aspect of any investment. When the business case proposition has to show oil and gas project funding, we understand how this is a challenging situation, because of the price volatility, and the requirements to support efforts to meet climate change. It is even more crucial now to have a trusted adviser who understands the financier's needs.

We work closely with debt providers and potential investors globally. We help clients build efficient business cases, and we help secure financing using our network of financiers and debt providers.

Our experienced technical and commercial team help prepare a business case to optimise cashflow and increase chances of success.

Energy Transition Strategy

Energy Transition Strategy

We help clients understand the changing energy transition landscape to the Low-Carbon economy. Currently, the energy industry is expanding its sustainable energy sources such as the renewable energy transition to reduce the use of fossil fuels to zero. Green hydrogen, alongside renewables and natural gas, will become a part of the energy transition to a cleaner energy landscape.

We advise on corporate strategy using our experience from complex analytical analysis, information technologies and capital-intense projects. Our staff bring their skills and knowledge in management consulting and advisory to financial institutions.

We provide feasibility and concept studies services using our multi-disciplinary team for carbon capture, utilisation and storage projects (CCUS).

Energy transition studies

Our studies look at investments in renewable energy, clean energy and reducing gas flare leading to gas commercialisation.

Advisory to financial institutions

We have broad experience and detailed knowledge of engineering, economics, and finance.

Systems modelling

We can model the integration of oil & gas developments and operations with renewables, and hydrogen to better understand the integration of variables in the energy system.

Carbon capture, utilisation and storage

We study this carbon capture technology (CCUS) to reduce emissions across the energy system.
